Terms of Service

    These Terms of Service ("Terms") govern your access to and use of Reff.ly's websites, products, and services (collectively, the "Service"). By using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that it accepts these Terms.

    1. Eligibility & Account

    You must be at least 13 years old (or 16 in the EEA/UK) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information and notify us promptly of any unauthorized use.

    2. Permitted Use

    You may use the Service only in compliance with these Terms and all applicable laws. You agree not to:

    • (a) reverse engineer or attempt to access the Service except through public interfaces;
    • (b) interfere with the Service's normal operation;
    • (c) use the Service to transmit malware, spam, or illegal content;
    • (d) engage in behavior that infringes intellectual property, privacy, or other rights; or
    • (e) misrepresent or mask the origin of links.

    3. User Content & Links

    "Content" includes data, text, URLs, QR codes, images, and other materials you provide or create using the Service ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Reff.ly a worldwide, royalty‑free license to host, store, reproduce, and display it solely to operate and improve the Service. You are responsible for your User Content and warrant that you have all rights necessary to grant this license.

    4. Intellectual Property

    The Service, including software, design, and trademarks, is owned by or licensed to Reff.ly and protected by law. Except for the limited rights expressly granted in these Terms, we reserve all rights.

    5. Plans, Billing & Taxes

    Certain features require a paid plan. Prices and features may change from time to time. Unless stated otherwise, charges are billed in advance on a subscription basis and are non‑refundable. You are responsible for any applicable taxes, excluding Reff.ly's income taxes. For billing questions, contact billing@reff.ly.

    6. Trials, Upgrades & Downgrades

    Trials provide temporary access to paid features. At the end of a trial, continued access requires a paid subscription. Changes to your plan may take effect immediately and may adjust your billing.

    7. Cancellations & Termination

    You may cancel at any time via your account settings; your access continues until the end of the current billing period. We may suspend or terminate your access if you breach these Terms, create risk or possible legal exposure for us, or fail to pay fees. Upon termination, your license ends and we may delete your User Content subject to legal obligations and our Privacy Policy.

    8. Third‑Party Services

    The Service may integrate with third‑party products (e.g., analytics, ads, payments). Your use of third‑party services is subject to their terms and privacy policies, and Reff.ly is not responsible for third‑party services.

    9. Beta Features

    We may offer pre‑release or beta features. Beta is provided "as is" without warranties and may be discontinued at any time.

    10. Availability & Support

    We strive for reliable Service but do not guarantee uninterrupted availability. Target uptime and support response times may be described in a separate SLA for enterprise plans.

    11. Security

    We employ technical and organizational safeguards to protect the Service. You are responsible for securing your account and promptly notifying us of suspected compromise.

    12. Privacy

    Your use of the Service is subject to our Privacy Policy and Cookie Policy, which describe how we collect and use personal data and provide choices under applicable laws.

    13. Disclaimers

    The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Reff.ly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

    14. Limitation of Liability

    To the maximum extent permitted by law, Reff.ly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service. In no event will Reff.ly's aggregate liability exceed the greater of (a) the amounts you paid to Reff.ly in the 12 months preceding the claim or (b) $100.

    15. Indemnification

    You agree to indemnify and hold Reff.ly and its affiliates, officers, agents, and employees harmless from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

    16. Governing Law & Dispute Resolution

    These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. The exclusive venue for any disputes arising out of or relating to these Terms or the Service will be the state and federal courts located in Delaware, and you consent to the jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

    17. Export & Sanctions

    You represent that you are not located in, under the control of, or a national or resident of any restricted country and that you will not use the Service in violation of U.S. export control or sanctions laws.

    18. Changes to the Service and Terms

    We may modify the Service and these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by email or in‑app). Changes become effective when posted, unless otherwise specified. Your continued use after changes become effective constitutes acceptance.

    19. Notices

    Notices will be sent to the email associated with your account or posted within the Service. You may send notices to Reff.ly at legal@reff.ly.

    20. Miscellaneous

    Entire Agreement: These Terms constitute the entire agreement between you and Reff.ly regarding the Service and supersede prior agreements.

    Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

    Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.

    No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
